If you work on a w2 basis, you are an employee of the firm paying. As a 1099 you are a sub-contractor, at the end of the year you don't get a w2 statement complete with withholding info, you get a 1099 which says 'we paid you this much' it's then up to you to pay the govt taxes and such - as well as 14% soc sec and 12% medicare (?). You wind up having to charge more as a 1099.
