First one is working on physical level (Page level) so you'll got the same copy
of your table spaces etc (including defragmentation etc.)
while second one is working on logical level, so the logical (not physical)
scheme and data would be unloaded/loaded.
First one is almost all the time faster, but if you have _big holes_ in
your table spaces etc. the last one would be faster.
The problem with second one is that its a environment dependant data formats,
so if you'll dbexports locale-dependant data you have to ensure that the same
formatting is used when you dbimport it. + you may have some problem
with inter base (synonyms etc) dependency.
Last one method is yet another way to _optimize_ your physical data layering.
But don't forget to use UPDATE STATISTICS after dbimport !
